I must say the meaning and the purpose overlap, and many such people use both terms interchangeably. However, the difference that I would like to point out is that an undertaking letter is best suited for areas where the party is needed to promise to stay away from a particular endeavor contained in the agreement.

On the other hand, a guarantor letter provides an agreement that the guarantor is liable to take penalties for another person should such a person default on the terms of the contract.
